1. Nature of Service

ConstructLogic is provided for informational and decision-support purposes only. Output generated by the System is not, and does not constitute, professional legal advice, professional quantity surveying advice, financial advice, or professional engineering advice. ConstructLogic is not a registered professional service provider under the Quantity Surveying Profession Act, No. 49 of 2000, or any other professional regulatory body in South Africa or elsewhere.

The System is designed to assist construction professionals in managing their contractual obligations, generating draft notices, producing progress reports, and recording meeting minutes. These outputs are intended as drafts and starting points for professional review — not final documents ready for service without independent verification.

2. Acknowledgement of Contract Standards

ConstructLogic incorporates references to, and has been trained on, standard form construction contracts that are published works protected by copyright and owned exclusively by their respective publishers, as set out below:

• JBCC Series 2000 (including the Principal Building Agreement, Nominated/Selected Subcontract, and Minor Works Agreement) — copyright vested in the Joint Building Contracts Committee NPC, a non-profit company incorporated in the Republic of South Africa.
• NEC4 Engineering and Construction Contract and related NEC suite documents — copyright vested in Thomas Telford Ltd, trading as NEC Contracts, a company incorporated in England and Wales.
• FIDIC Conditions of Contract (including the 2017 Red, Yellow, and Silver Books and the 2011 Green Book) — copyright vested in the Fédération Internationale des Ingénieurs-Conseils (FIDIC), an association incorporated under Swiss law and headquartered in Geneva, Switzerland.

ConstructLogic is neither affiliated with, endorsed by, nor licensed by any of the foregoing publishers. No reproduction, distribution, or reliance on the text of these standard forms is authorised by this platform. Users are advised to obtain original, authoritative copies of the applicable contract documents directly from the respective publishers and to consult those documents in their entirety for all professional, contractual, and legal purposes.

3. Artificial Intelligence Limitations

The System uses artificial intelligence trained on historical construction contracts, clauses, and legal frameworks including JBCC, NEC4, and FIDIC. Despite this training, artificial intelligence is subject to known and inherent limitations, including:

• Hallucination: The AI may generate plausible-sounding but factually incorrect information, including fabricated clause numbers, dates, or amounts.
• Contextual misunderstanding: The AI may misinterpret the specific facts of your project, contract, or dispute.
• Clause misapplication: The AI may apply clauses incorrectly, particularly where contract amendments, special conditions, or non-standard provisions apply.
• Temporal obsolescence:The AI's training data has a knowledge cutoff and may not reflect recent case law, legislative amendments, or updated contract editions.
• Incomplete context: The AI works only with the information provided to it and cannot independently verify the accuracy of inputs or access original contract documents unless uploaded.

Errors are possible and occur despite precautions. No AI system is infallible.

4. Your Responsibility for Verification

You are solely responsible for verifying all output generated by ConstructLogic with a qualified professional — being a registered Quantity Surveyor (Pr.QS), construction attorney, professional engineer, or other licensed professional — before taking any action based on that output. This includes, without limitation:

• Serving any formal contractual notice
• Submitting any claim, application, or demand
• Taking any action with contractual, legal, or financial consequences
• Relying on any clause reference, deadline, or calculation

The fact that ConstructLogic generated a document does not mean that document is correct, complete, or appropriate for your specific circumstances.

5. No Warranty

ConstructLogic is provided "as is" and "as available" without any warranty of any kind, either express or implied, including but not limited to:

• Warranties of accuracy or completeness
• Warranties of fitness for a particular purpose
• Warranties of non-infringement
• Warranties of uninterrupted or error-free service

Blue Diamond Capital Ltd makes no representations that the System will be free from errors, that defects will be corrected, or that the System or the servers that make it available are free from viruses or other harmful components.

6. Contractual Action and Indemnity

If you take any contractual action based wholly or partly on output from ConstructLogic — including but not limited to serving a notice, submitting a claim, making a payment demand, or taking any other action with contractual consequences — you do so entirely at your own risk and at your own expense.

You hereby indemnify and hold harmless Blue Diamond Capital Ltd, its directors, officers, employees, agents, shareholders, and affiliates (collectively, "the Indemnified Parties") from and against any and all:

• Losses, damages, claims, and liabilities of any nature
• Costs and expenses, including legal fees on an attorney-and-own-client scale
• Consequential, indirect, or economic loss arising from reliance on AI-generated output
• Any contractual action you take, or fail to take, based on the System's output
• Any error, omission, or misstatement in the output generated by the System

This indemnity survives the termination of your use of ConstructLogic and applies regardless of whether the Indemnified Parties were negligent.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Blue Diamond Capital Ltd shall not be liable to you or any third party for any:

• Indirect, incidental, special, or consequential damages
• Punitive or exemplary damages
• Loss of profit, revenue, or anticipated savings
• Loss of contract or business opportunity
• Loss of data or goodwill

arising from or in connection with your use of, or inability to use, ConstructLogic — even if advised of the possibility of such damages.

Where liability cannot be excluded by law, our aggregate liability to you shall not exceed the total subscription fees paid by you in the 12 months preceding the event giving rise to the claim.

8. Professional Advice Exclusion

Nothing in ConstructLogic — including any output, response, analysis, notice draft, report, or recommendation generated by the System — constitutes professional advice of any kind. Specifically:

• No output from ConstructLogic constitutes legal advice under the Legal Practice Act, No. 28 of 2014.
• No output from ConstructLogic constitutes professional quantity surveying advice under the Quantity Surveying Profession Act, No. 49 of 2000.
• No output from ConstructLogic constitutes engineering advice under the Engineering Profession Act, No. 46 of 2000.

If you require professional advice, you must engage and consult with a duly registered professional in the relevant field. Using ConstructLogic does not replace the need for qualified professional advice.

9. Compliance with Law

You remain solely responsible for ensuring that your use of ConstructLogic and any actions you take based on its output comply with all applicable laws and regulations, including without limitation:

• The Quantity Surveying Profession Act, No. 49 of 2000
• The Construction Industry Development Act, No. 38 of 2000
• The Legal Practice Act, No. 28 of 2014
• The Protection of Personal Information Act, No. 4 of 2013 (POPIA)
• The Electronic Communications and Transactions Act, No. 25 of 2002 (ECTA)
• Any other applicable South African or international legislation

ConstructLogic does not guarantee that documents generated by the System comply with any applicable notice requirements, contractual provisions, or statutory obligations. This is your responsibility to verify.

10. Governing Law and Jurisdiction

This Disclaimer & Indemnity is governed by the laws of the Republic of Mauritius. Any disputes arising from or in connection with this disclaimer shall be subject to the exclusive jurisdiction of the courts of the Republic of Mauritius.
