Where these Terms and a related document both address the same subject, the related document governs on that specific subject.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter a binding contract to use ConstructLogic. If you register on behalf of a company or other entity, you confirm you have the authority to bind that entity to these Terms.

3. Account Registration

You must provide accurate, current information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at shan@bluediamond.capital of any unauthorised use.

4. Subscription Tiers and Billing

ConstructLogic is offered on Standard, Pro, and Expert subscription tiers, billed monthly, annually, or at the Lifetime Charter Member rate where available, as described on our pricing page. Billing, cancellation, and refund terms are governed by our Refund & Cancellation Policy.

5. Delivery of Service

ConstructLogic is a software-as-a-service platform with no physical goods shipped. Access to your subscribed tier is delivered electronically and made available immediately upon successful payment and account activation, subject to standard account verification. There is no separate delivery timeframe, shipping cost, or physical delivery method associated with your subscription.

If you experience any delay or failure in accessing the platform after payment, contact us immediately at shan@bluediamond.capital and we will resolve access issues without delay.

6. Your Content

You retain all ownership rights in the contract documents, correspondence, and other data you upload to ConstructLogic ("Your Content"). You grant us a limited licence to process Your Content solely to provide the platform's functionality to you, including generating AI-assisted outputs. We do not use Your Content to train models for the benefit of other customers.

You are responsible for ensuring you have the right to upload Your Content, including any third-party contract documents, and that doing so does not infringe any confidentiality obligation or third-party right.

7. Acceptable Use

You agree not to:

• Use ConstructLogic for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorised access to any part of the platform, other accounts, or our systems
• Reverse-engineer, decompile, or attempt to extract the underlying models or source code
• Upload content that is unlawful, infringes third-party rights, or that you do not have the right to share
• Resell, sublicense, or provide access to ConstructLogic to any third party outside your organisation without our written consent
• Use automated means to scrape, extract, or bulk-download platform content or outputs beyond normal use

We may suspend or terminate your access for breach of this section.

8. Intellectual Property

ConstructLogic, including its software, design, branding, and underlying technology, is owned by Blue Diamond Capital Ltd and protected by applicable intellectual property law. These Terms do not grant you any right to our intellectual property beyond the limited right to use the platform as intended.

ConstructLogic references standard-form construction contracts (JBCC, NEC4, FIDIC) that are copyrighted works owned by their respective publishers, as set out in full in our Disclaimer & Indemnity. We claim no ownership over those works.

Unauthorised use, copying, reproduction, distribution, or reverse-engineering of ConstructLogic's software, source code, models, database structure, design, or branding constitutes infringement of our intellectual property rights. We actively monitor for infringement and will pursue it. Where infringement is identified, we reserve the right to take any lawful action available to us, including without limitation:

• Immediate suspension or termination of the infringing party's access to ConstructLogic
• Civil action for injunctive relief, damages, and recovery of legal costs on an attorney-and-own-client scale
• Referral to the relevant authorities where the conduct constitutes a criminal offence under applicable law

These rights are enforceable under the laws of the Republic of Mauritius, including the Industrial Property Act 2019 and applicable copyright legislation, and, where infringement occurs outside Mauritius, under the intellectual property laws of the relevant jurisdiction.

9. AI Output and Professional Advice

ConstructLogic uses artificial intelligence to generate contract analysis, notices, reports, and other outputs. The limitations of that AI, the professional-advice exclusion, and your indemnity and liability obligations relating to AI output are set out in full in our Disclaimer & Indemnity, which forms part of these Terms.

10. Suspension and Termination

We may suspend or terminate your access to ConstructLogic, with or without notice, for breach of these Terms, non-payment, or conduct that we reasonably believe harms ConstructLogic, other users, or third parties. You may terminate your account at any time in accordance with our Refund & Cancellation Policy.

Upon termination, your right to access ConstructLogic ends immediately. Data retention following termination is governed by our Privacy Policy.

11. Service Availability

We aim to keep ConstructLogic available at all times but do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue any part of the platform at our discretion, with reasonable notice where practicable.

12. Limitation of Liability

Our liability to you is limited as set out in our Disclaimer & Indemnity, including the aggregate liability cap described there. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Changes to These Terms

We reserve the right to update or amend these Terms at any time. Minor or non-material changes may be made without prior notice, and it is your responsibility to review these Terms regularly. Where a change is material, we will make reasonable efforts to notify you via email or in-app notice. Continued use of ConstructLogic after any change takes effect constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Republic of Mauritius. Any dispute arising from these Terms is subject to the exclusive jurisdiction of the courts of Mauritius, without prejudice to any mandatory consumer protection rights you may hold under the laws of your country of residence.
